PEST DIRECT TERMS OF SERVICE

1. Acceptance of These Terms

These Terms of Service (the "Terms") are a binding agreement between you and Pest Direct ("Pest Direct," "we," "us," or "our"). They govern your access to and use of pestdirect.com, related subdomains, applications, communications, directory listings, review features, lead-request tools, subscription services, and any other product or service that links to these Terms (collectively, the "Platform").

By accessing or using the Platform, creating an account, submitting a service request or review, claiming or managing a business listing, purchasing a subscription, or clicking to accept these Terms, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Platform.

If you use the Platform for a company or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.

2. Eligibility and Account Authority

You must be at least 18 years old and legally capable of entering a contract to use the Platform. You may not use the Platform if applicable law prohibits you from doing so or if we previously suspended or terminated your access, unless we give written permission.

A person creating or claiming a company profile represents that the person is an owner, employee, authorized agent, franchisee, or other representative with authority to manage the listing and accept these Terms for that company. We may request documentation to verify identity, authority, licensure, insurance, location, ownership, or other listing information.

3. What Pest Direct Is - and Is Not

Pest Direct provides technology that helps consumers discover and compare pest-control and wildlife-control companies, request information or estimates, communicate with participating companies, read and submit reviews, and access educational content. Pest Direct also provides companies with directory listings, profile-management tools, lead opportunities, analytics, and other subscription features.

Unless we expressly state otherwise in a separate written agreement, Pest Direct is not a pest-control company, exterminator, wildlife-removal company, contractor, employer, franchisor, insurer, licensing authority, or agent of any listed company or consumer. Listed companies are independent businesses. They control their services, personnel, inspections, methods, chemicals, equipment, safety practices, availability, prices, estimates, contracts, warranties, refunds, and regulatory compliance.

Pest Direct does not endorse, certify, warrant, or guarantee any company merely because it appears on the Platform, is marked as claimed or verified, pays for a subscription, receives a badge, or appears prominently in search results. A verification indicator means only that we reviewed specified information at a particular time; it is not a guarantee of current licensure, insurance, identity, quality, safety, suitability, or legal compliance.

4. Consumer Service Requests and Lead Sharing

When you submit a service request, quote request, contact form, or similar inquiry, you authorize Pest Direct to use the information you provide to operate the Platform and to disclose that information to one or more companies that may serve your location or needs, as described at the point of collection and in our Privacy Policy. This may include your name, email address, telephone number, property or service address, pest issue, service preferences, property details, availability, messages, and other information you submit.

A request is not an appointment, binding estimate, service contract, emergency dispatch, or guarantee that any company will respond, be available, accept the work, honor a displayed price, or resolve the issue. You are responsible for evaluating a company, confirming its current license and insurance where applicable, reviewing its contract, and deciding whether to hire it.

If the Platform allows a request to be sent to multiple companies, those companies may compete for the opportunity to contact you. Pest Direct may receive subscription revenue, advertising fees, lead fees, transaction fees, or other compensation from participating companies. Unless expressly disclosed otherwise, you are not charged merely for submitting a request.

Do not use the Platform for emergencies, poison exposures, dangerous wildlife encounters, active infestations presenting an immediate health risk, or situations requiring emergency services. Contact 911, poison control, animal control, a public-health authority, or another appropriate emergency resource.

5. Communications and Consent to Be Contacted

You agree that Pest Direct may contact you about your account, requests, reviews, transactions, security, legal notices, and Platform updates by email, telephone, text message, in-app notification, or other contact information you provide. Participating companies may contact you in response to a request you submit.

Where required by law, marketing calls or texts will be made only with the consent described at the point of collection. Consent to marketing is not a condition of purchasing services. Message and data rates may apply. You may opt out of marketing texts by replying STOP and may unsubscribe from marketing email using the link provided. Transactional and legally required communications may continue.

You represent that you own or are authorized to use the email address and telephone number you provide. You must not submit another person’s contact information without authorization.

6. Accounts and Security

You must provide accurate, current, and complete information and keep it updated. You are responsible for activity under your account and for protecting passwords, authentication codes, and devices. Notify us promptly at security@pestdirect.com if you suspect unauthorized access. We may require password resets, identity verification, or other protective steps.

You may not sell, transfer, sublicense, or share an account except with authorized personnel of the same organization using features we provide. We may rely on instructions received through your account until we receive and process notice of unauthorized access.

7. Company Listings and Business Responsibilities

A company that creates, claims, or manages a listing (a "Company") is solely responsible for its listing, services, communications, and customer relationships. Each Company represents, warrants, and agrees that:

• all information it submits is accurate, current, complete, and not misleading;

• it has all licenses, registrations, permits, certifications, insurance, bonds, training, supervision, and authority required for every service and location it advertises or performs;

• it will comply with federal, state, local, tribal, and industry requirements, including laws governing pesticides, wildlife, consumer protection, advertising, telemarketing, privacy, accessibility, employment, taxes, and home-service contracts;

• it will use only trained and legally authorized personnel and will follow product labels, safety rules, recordkeeping requirements, and integrated pest-management obligations where applicable;

• it will not claim services, coverage areas, pricing, accreditations, results, response times, or guarantees that it cannot lawfully and reliably provide;

• it will contact consumers only for the request or lawful purpose for which their information was provided and will protect that information using reasonable safeguards;

• it will not sell, transfer, scrape, enrich, or reuse lead information for unrelated marketing, data brokerage, credit, insurance, employment, housing, or eligibility decisions; and

• it will promptly correct listing errors and notify Pest Direct of material changes to ownership, authorization, licensure, insurance, or ability to operate.

We may edit a listing for formatting, consistency, categorization, duplicate removal, legal compliance, or clarity without changing its material meaning. We may decline, suspend, unclaim, merge, or remove listings or features in our reasonable discretion.

8. Company Subscriptions, Billing, and Automatic Renewal

8.1 Subscription price and scope

Unless a signed order form or displayed checkout offer states otherwise, the standard Pest Direct Company subscription is $199 per month for each subscribed business location, plus applicable taxes. Each physical branch, office, franchise location, or separately marketed service location generally requires its own subscription. Features, usage limits, promotional pricing, and included locations will be shown at checkout or in the applicable order form.

8.2 Automatic renewal

PAID SUBSCRIPTIONS AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNTIL CANCELED. BY STARTING A SUBSCRIPTION, YOU AUTHORIZE PEST DIRECT AND ITS PAYMENT PROCESSOR TO CHARGE THE PAYMENT METHOD ON FILE FOR THE THEN-CURRENT SUBSCRIPTION PRICE, APPLICABLE TAXES, AND ANY AUTHORIZED ADD-ONS AT EACH RENEWAL.

The renewal interval, amount charged, trial or promotional terms, and cancellation method will be disclosed before purchase. If a fixed-term subscription of 12 months or longer automatically renews for more than one month, we will provide any renewal reminder required by applicable law.

8.3 Cancellation

You may cancel through the subscription or billing settings made available in your Company account or by contacting billing@pestdirect.com. Cancellation takes effect at the end of the current paid billing period unless applicable law or a written offer provides otherwise. Cancel before the renewal date to avoid the next charge. Deleting an account or unclaiming a listing does not necessarily cancel a subscription; use the stated cancellation method.

8.4 Fees, changes, taxes, and failed payment

Except where required by law or expressly stated in a written offer, fees are nonrefundable and we do not provide prorated credits for partial periods, unused features, removed content, missed leads, or lack of results. We may change subscription pricing or material renewal terms prospectively by providing notice required by law. You are responsible for applicable taxes other than taxes based on our net income.

If payment fails, we may retry the payment method, ask you to update it, suspend paid features, downgrade the listing, or terminate the subscription. You remain responsible for authorized accrued charges and reasonable collection costs permitted by law. Chargebacks submitted in bad faith or without first raising a legitimate billing issue may result in suspension.

8.5 Promotions and trials

Promotions and trials are subject to the terms presented with the offer. Unless the offer states otherwise, a trial converts to a paid automatically renewing subscription at its end. One promotion per Company or location may apply. We may determine eligibility and withdraw or correct an offer where permitted by law.

9. Leads, Ranking, Advertising, and No Results Guarantee

A Company subscription does not guarantee leads, contacts, impressions, ranking, conversion, revenue, exclusivity, territory, or return on investment. Lead volume and quality vary by geography, season, consumer demand, competition, listing completeness, consumer choices, and other factors.

Search and recommendation results may consider relevance, service area, availability, profile completeness, verification signals, responsiveness, consumer feedback, subscription status, performance, personalization, and other factors. Paid placements, featured listings, or advertisements will be identified as required by law. Payment does not permit a Company to control consumer reviews or require favorable treatment.

10. Quotes, Appointments, Services, and Transactions

Any quote, estimate, price range, promotion, availability, or service description shown on the Platform is informational unless the responsible Company expressly confirms it. Final price and scope may change after inspection or based on infestation severity, property conditions, service frequency, materials, taxes, permits, or other factors.

Any service agreement is between the consumer and the Company. The Company is responsible for required disclosures, cancellation rights, service performance, warranties, receipts, refunds, injuries, property damage, and disputes. Pest Direct is not a party to that agreement merely because the Platform facilitated discovery, communication, scheduling, or payment.

If Pest Direct enables payments, the payment may be processed by a third party and may be subject to additional terms. We may facilitate the transaction as a limited payment-collection agent when expressly disclosed, but we do not assume responsibility for the underlying pest-control service. Refunds and disputes remain subject to the displayed transaction terms, the Company’s lawful policies, and applicable law.

11. Reviews, Ratings, and Other User Content

11.1 Your content

The Platform may allow you to submit reviews, ratings, photos, videos, messages, responses, listing details, and other content ("User Content"). You retain ownership of your User Content. You grant Pest Direct a worldwide, nonexclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, modify for formatting or moderation, publish, display, distribute, translate, create derivative works from, and otherwise use User Content to operate, improve, promote, and protect the Platform. This license ends when the content is deleted from our systems, except for reasonable backup, legal, fraud-prevention, or previously distributed uses.

11.2 Review integrity

Reviews must reflect a genuine experience or interaction and must be honest, relevant, and based on facts the reviewer reasonably believes to be true. You may not:

• submit, buy, sell, broker, or arrange fake or false reviews;

• review your own Company or a competitor, or direct employees, owners, relatives, agents, or contractors to do so without clear disclosure and our written permission;

• condition compensation, discounts, refunds, gifts, contests, or benefits on a positive review or particular sentiment;

• use threats, intimidation, retaliation, nondisparagement provisions, or improper pressure to prevent or remove an honest review;

• impersonate another person or misrepresent identity, experience, service, location, or material connection; or

• submit unlawful, defamatory, harassing, discriminatory, obscene, dangerous, privacy-invasive, infringing, or irrelevant content.

An email-confirmed review indicates only that the submitter controlled the email address used for confirmation. A "verified lead" or similar label may indicate that Pest Direct matched the submission to specified Platform activity; it does not prove every statement in the review or that the reviewer purchased or completed service unless expressly stated.

11.3 Moderation and responses

We may screen, investigate, label, rank, delay, reject, redact, disable, or remove User Content to enforce these Terms, protect users, address fraud, comply with law, or maintain relevance and quality. We are not obligated to monitor all content and do not guarantee removal merely because content is unfavorable or disputed. Companies may respond through available tools but must not disclose private customer information or retaliate.

If you dispute a review, use the reporting process and provide specific supporting information. We may request documentation from either side, preserve content, add context, restrict interaction, or decline to adjudicate factual disputes that should be resolved by the parties or a court.

12. Ownership and Limited License

The Platform, including its software, design, databases, selection and arrangement of content, trademarks, logos, text, graphics, taxonomies, ranking systems, and analytics, is owned by Pest Direct or its licensors and is protected by intellectual-property and other laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Platform for its intended purposes.

Except as law permits or we authorize in writing, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, frame, mirror, scrape, crawl, harvest, index, train a model on, commercially exploit, or create a competing dataset or service from the Platform. Ordinary search-engine indexing performed in accordance with our robots instructions is permitted.

"Pest Direct" and associated marks are our trademarks or trade dress. Company names and marks belong to their respective owners. No license to use a mark is granted except as necessary to accurately identify a listed Company on the Platform.

13. Feedback

If you provide ideas, suggestions, or feedback, you grant Pest Direct a perpetual, irrevocable, worldwide, royalty-free right to use and commercialize it without restriction or compensation, provided we do not publicly identify you as the source without permission.

14. Prohibited Conduct

You may not use the Platform to:

• violate law, these Terms, another person’s rights, or a contractual or fiduciary obligation;

• submit false, deceptive, fraudulent, duplicate, or unauthorized information, requests, listings, credentials, reviews, or payment disputes;

• harass, threaten, discriminate against, exploit, or harm another person or animal;

• introduce malware, interfere with security, test vulnerabilities without authorization, overload systems, bypass access controls, or disrupt operation;

• use automated means to access, collect, monitor, or interact with the Platform except through an authorized API or with written permission;

• spam consumers or Companies, generate sham leads, manipulate rankings, click or impression metrics, reviews, referrals, pricing, or availability;

• use Platform data to create marketing lists, identity profiles, or datasets unrelated to a user-requested pest-control purpose;

• resell, redistribute, or share leads except with authorized personnel and subcontractors who need the information to respond and are bound to protect it; or

• aid or attempt any prohibited conduct.

15. Educational Content and Safety Information

Articles, guides, pest identifications, licensing summaries, chemical information, regulatory summaries, and other educational content are general information only. They are not professional pest-control, medical, veterinary, toxicological, environmental, structural, legal, or regulatory advice. Conditions and rules vary and can change. Do not rely on the Platform as a substitute for an inspection, product label, safety data sheet, licensed professional, poison-control center, government agency, or attorney.

Never use a pesticide contrary to its label. Do not handle unknown chemicals, dangerous wildlife, venomous species, contaminated materials, or serious infestations without appropriate training and protective measures.

16. Third-Party Services and Links

The Platform may link to or integrate with third-party websites, maps, payment processors, analytics services, identity or license databases, communications providers, and other services. We do not control and are not responsible for their content, availability, security, accuracy, or practices. Your use of third-party services is governed by their terms and privacy policies.

17. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Platform, you acknowledge those practices. If you submit personal information about another person, you represent that you have authority to do so and have provided any required notices.

A Company receiving lead or customer information acts independently with respect to its own use of that information and must provide its own legally required privacy notices and honor applicable privacy rights. Pest Direct is not responsible for a Company’s independent privacy practices.

18. Copyright Complaints

If you believe content on the Platform infringes your copyright, send a notice to our designated copyright agent at copyright@pestdirect.com. The notice should include: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification and location of the allegedly infringing material; (4) your contact information; (5) a statement of good-faith belief that the use is unauthorized; and (6) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. We may remove content and terminate repeat infringers as appropriate.

19. Suspension and Termination

You may stop using the Platform at any time. You may close an account using available settings or by contacting support@pestdirect.com, subject to outstanding obligations and lawful retention. Closing an account does not automatically cancel a paid subscription unless the cancellation process states that it does.

We may investigate, restrict, suspend, downgrade, or terminate access; remove or unclaim listings; withhold publication; or take other reasonable action if we believe you violated these Terms, pose risk, engaged in fraud or abuse, failed payment, lack required authority or credentials, or if action is needed for security, legal compliance, or Platform integrity. Where appropriate, we may provide notice and an opportunity to cure or appeal.

Sections that by their nature should survive termination will survive, including provisions concerning ownership, payment obligations, User Content licenses, disclaimers, limits of liability, indemnification, dispute resolution, and general terms.

20. Platform Changes and Availability

We may add, modify, suspend, or discontinue features, content, integrations, service areas, listing categories, eligibility rules, or the Platform as a whole. We do not guarantee uninterrupted, secure, or error-free operation, preservation of any content, or compatibility with every device or browser. We may perform maintenance and impose reasonable usage or storage limits.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." PEST DIRECT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT OR GUARANTEE ANY COMPANY; CONSUMER; LEAD; REVIEW; LICENSE, INSURANCE, OR VERIFICATION INFORMATION; PEST IDENTIFICATION; QUOTE; PRICE; APPOINTMENT; SERVICE; RESULT; SAFETY PRACTICE; OR USER CONTENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEST DIRECT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; PERSONAL INJURY, PROPERTY DAMAGE, PEST OR WILDLIFE DAMAGE, CHEMICAL EXPOSURE, OR SERVICE FAILURE; OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) $100; OR (B) THE AMOUNT YOU PAID DIRECTLY TO PEST DIRECT FOR THE PLATFORM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

The exclusions and limitations in these Terms are a fundamental basis of the bargain and apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

23. Indemnification

To the maximum extent permitted by law, if you are a Company or use the Platform for commercial purposes, you will defend, indemnify, and hold harmless Pest Direct and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, demands, proceedings, damages, judgments, settlements, penalties, fines, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: your use of the Platform; your listing, services, products, personnel, communications, contracts, or User Content; your violation of these Terms or law; your infringement or misappropriation of rights; or injury, death, property damage, chemical exposure, environmental harm, or consumer dispute connected with your business.

We may control the defense and settlement of an indemnified matter. You will cooperate and may not settle a matter in a way that admits fault by or imposes obligations on Pest Direct without our written consent. This Section does not require a consumer to indemnify Pest Direct where prohibited by law.

24. Governing Law

Except as governed by the Federal Arbitration Act or another controlling law, these Terms and any dispute are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. If Section 25 does not apply to a dispute, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Cook County, Illinois, unless applicable consumer law requires otherwise.

25. Dispute Resolution; Individual Arbitration; Class-Action Waiver

25.1 Informal resolution first

Before filing arbitration or a lawsuit, the complaining party must send a written Notice of Dispute describing the claimant, account or contact information, facts, legal basis, requested relief, and a good-faith calculation of any monetary demand. Send notices to legal@pestdirect.com. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Any limitations period is tolled during that 30-day period.

25.2 Agreement to arbitrate

Except for the matters in Section 25.3, you and Pest Direct agree that any dispute, claim, or controversy arising from or relating to these Terms, the Platform, communications, subscriptions, listings, leads, reviews, or the relationship between you and Pest Direct will be resolved by binding individual arbitration, not in court. This agreement is governed by the Federal Arbitration Act.

The arbitration will be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as appropriate, as modified by these Terms. The arbitrator may award the same individual relief available in court and will issue a reasoned written decision. The arbitration may occur by video, telephone, documents, or in person in the county where you live or another mutually agreed location. Pest Direct will pay arbitration fees to the extent required by applicable rules or law.

25.3 Exceptions

Either party may bring an individual claim in small-claims court if it qualifies and remains individual. Either party may seek temporary or preliminary injunctive relief in court to prevent unauthorized access, security abuse, or actual or threatened infringement or misappropriation of intellectual-property rights while arbitration is pending. Government agencies may pursue remedies within their authority.

25.4 No class or representative proceedings

YOU AND PEST DIRECT AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless all parties agree, the arbitrator may not combine claims of different people or preside over a representative proceeding. If a final decision finds a specific part of this waiver unenforceable for a particular claim or remedy, that claim or remedy will be severed and decided by a court after the remaining claims are arbitrated.

25.5 Mass filings

If 25 or more substantially similar arbitration demands are submitted against the same party by or with coordinated counsel within 180 days, the parties will confer regarding an orderly staged process. Unless the parties agree otherwise or the administrator requires a different process, 10 representative cases will proceed first, followed by mediation, before additional demands proceed in reasonable batches. Limitations periods for the remaining demands will be tolled. A court may enforce this subsection and resolve disagreements about whether it applies.

25.6 Thirty-day right to opt out

You may opt out of this arbitration agreement by emailing legal@pestdirect.com within 30 days after you first accept these Terms. Your notice must state your full name, account email, mailing address, and an unambiguous request to opt out of arbitration. Opting out will not affect other provisions or your ability to use the Platform. If you timely opt out, neither party will be bound by this Section 25 for disputes between you and Pest Direct.

26. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and change the "Last updated" date. If changes materially affect your rights, we will provide additional notice as required by law, such as email, account notice, or a prominent Platform notice. Changes apply prospectively from their stated effective date. Your continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Platform and cancel any subscription before the change takes effect.

27. Notices

We may provide notices through the Platform, your account, email, text, or mail using the contact information associated with your account. Electronic notices are effective when sent or posted, subject to applicable law. You are responsible for keeping contact information current.

Legal notices to Pest Direct must be sent to legal@pestdirect.com unless these Terms specify another address. Routine support and billing requests should be sent to support@pestdirect.com or billing@pestdirect.com.

28. General Terms

These Terms, the Privacy Policy, any displayed offer terms, and any signed order form or supplemental agreement constitute the entire agreement between you and Pest Direct regarding the Platform. If an order form conflicts with these Terms, the order form controls only for the subject it expressly addresses.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law. No waiver is continuing, and failure to enforce a provision is not a waiver. These Terms do not create a partnership, joint venture, employment, franchise, agency, or fiduciary relationship. Neither party is liable for delay caused by events beyond reasonable control, except for payment obligations. There are no third-party beneficiaries except indemnified parties expressly identified in these Terms.
